Negotiating a term sheet is the crucial process where founders and investors discuss and agree on the key economic and control terms for a venture capital investment, essentially hashing out the "deal points" (valuation, board seats, liquidation preferences). 

Find out which terms are most important to each side of a negotiation, learn how to close an investment round despite competing interests, and see the stakes behind each clause. Here’s how this works: 1. Each side (startup and investor) and their representative legal counsel (a MoFo Partner) reveal to the audience the critical points they are targeting in the negotiation. 2. A debate-style format follows 3. The audience asks MoFo lawyers, the founder, and the investor any questions that might have popped up during the negotiation.
